Contributor Agreement

If you author scenarios for Secondframe, here is the deal: you keep ownership of your work and license it to us, you get named authorship credit and a public profile with your ratings, there's no monetary compensation today (Secondframe may introduce paid programs in the future), and you are an independent contractor responsible for your own taxes.

Acceptance and Eligibility
This Contributor Agreement (the "Agreement") is between Secondframe ("Secondframe," "we," or "us") and the individual or entity who authors scenarios or other assessment content for the Service (the "Contributor" or "you"). By accepting an invitation, creating a Contributor account, or submitting any Contribution, you agree to this Agreement, the Terms of Service, and the Privacy Policy.
You must be at least 18 and legally able to enter into this Agreement. Participation is by invitation and subject to our approval.

Definitions
- "Contribution" means any scenario, world, actor definition, fact, trigger, rubric, prompt, description, edit, or other material you create or submit through the Service.
- "Platform" means the Secondframe Service through which Contributions are reviewed, published, and used in Assessments.

The Contributor Relationship (Independent Contractor)
You are an independent contractor. This Agreement does not create employment, partnership, agency, or joint venture. You are not entitled to employee benefits, you control how you create your Contributions, and you are responsible for your own taxes, expenses, and equipment. Nothing here guarantees any minimum amount of work, usage, or income.

Content Standards and Your Promises
For every Contribution, you represent and warrant that:
- it is your original work, and you have all rights necessary to grant the licenses in this Agreement;
- it does not infringe any copyright, trademark, trade secret, or other right;
- it does not disclose confidential, proprietary, or trade secret information of any current or former employer or any third party, and does not breach any nondisclosure or other obligation you owe to anyone;
- it does not reproduce real interview questions, materials, or assessments that you are not authorized to share;
- it does not contain real personal data of any identifiable individual, and any names, companies, and incidents are fictional or properly anonymized;
- it is not unlawful, defamatory, discriminatory, harassing, or harmful, and contains no malicious code; and
- it meets the quality, format, and content guidelines we provide.
You are solely responsible for your Contributions and for ensuring your participation does not violate any agreement with a current or former employer.

Intellectual Property License
You retain ownership of your original Contributions. You grant Secondframe a worldwide, royalty-free, sublicensable, and transferable license, for the term and the survival period in Section 009, to host, store, reproduce, adapt, edit, translate, create derivative works of, combine with other content, publicly display, perform, and use the Contribution to operate, market, and provide the Service, including delivering it within Assessments to Organizations and Candidates.
We may modify, curate, combine, or remove Contributions. To the extent permitted by law, you waive, or agree not to assert, moral rights with respect to our permitted uses.
Secondframe owns all rights in the Platform, the evaluation framework, the scoring system, and any aggregated or derived data and analytics generated from use of Contributions.

Review, Approval, and Removal
Submitting a Contribution does not obligate us to publish or use it. We may review, approve, reject, edit, or remove any Contribution at any time, with or without reason, including for quality, integrity, legal, or policy reasons. We may run automated and manual review before publication.

Recognition, Attribution, and Future Revenue Programs
A. Recognition and attribution. Contributions are made on a voluntary, unpaid basis. In consideration for your Contribution, Secondframe provides recognition and visibility: your approved and published Contributions carry your named authorship credit within the Service, and you receive a public author profile that may display your name, role, biography, scenario ratings, and aggregate usage statistics. The form, placement, and prominence of attribution and profiles are determined by Secondframe and may evolve over time.
B. No monetary compensation. Except as expressly agreed in a separate written program agreement under subsection C, no fees, royalties, revenue share, or other monetary compensation are payable for Contributions, and nothing in this Agreement creates an obligation for Secondframe to make any payment to you.
C. Future revenue programs. Secondframe may, at its sole discretion, introduce paid programs in the future — for example, revenue share for top-performing Contributions as the marketplace matures. Any such program will be governed by its own published terms, will apply prospectively only, and participation may be conditioned on eligibility criteria such as scenario quality, ratings, and usage. Nothing in this Agreement entitles you to participate in, or receive payment under, any future program.
D. Ratings and metrics. Ratings, usage statistics, and quality metrics shown on author profiles are generated by Secondframe's systems, may be adjusted for fraud, error, or integrity reasons, and do not constitute a representation of future earnings or opportunities.

Confidentiality and Assessment Integrity
You will keep confidential all non public information about the Platform, including scenario internals, scoring logic, rubrics, unreleased features, and other Contributors' content. You will not publish, leak, or distribute assessment content in a way that could compromise the integrity or fairness of Assessments. This Section survives termination.

Term, Termination, and Survival
Either party may terminate this Agreement at any time on notice. We may suspend or terminate immediately for breach, legal risk, or harm to the Platform.
On termination, we will stop publishing your Contributions to new users within a reasonable period, except that the license in Section 005 survives to the extent needed for Assessments already delivered or in progress, for archival, legal, and record keeping purposes, and for any copies that cannot reasonably be removed. Attribution on previously delivered Assessments may persist in historical records. Sections 004, 005 (as to delivered content), 007D, 008, 010, 011, and 012 survive.

Indemnification
You will defend, indemnify, and hold harmless Secondframe and its officers, employees, and agents from any claim, loss, or expense arising out of your Contributions, your breach of this Agreement, your breach of any obligation to a third party (including a current or former employer), or your violation of any law or third party right.

Disclaimers and Limitation of Liability
The Platform is provided "as is." To the maximum extent permitted by law, Secondframe is not liable for indirect, incidental, special, consequential, or punitive damages, and our total liability to you under this Agreement will not exceed one hundred (100) US dollars or, if greater, the total amounts actually paid to you by Secondframe in the twelve months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

Dispute Resolution and Governing Law
This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there. The parties will first try in good faith to resolve any dispute by contacting hello@secondframe.co for at least 30 days. Any unresolved dispute will be resolved by final and binding arbitration administered by the Vancouver International Arbitration Centre (VanIAC) under its rules, seated in Vancouver, before a single arbitrator, in English, on an individual basis and not as a class or representative action. This does not prevent either party from seeking injunctive relief for intellectual property or confidentiality breaches in a court of competent jurisdiction.

General
This Agreement, with the Terms of Service and Privacy Policy, is the entire agreement between you and Secondframe regarding Contributions. If any provision is unenforceable, the rest remains in effect. You may not assign this Agreement without our consent; we may assign it. We may update this Agreement on at least 30 days notice, and continued participation constitutes acceptance.
