By using Secondframe, you agree to these terms. We provide assessment infrastructure. You are responsible for your hiring decisions, and you must keep a human in the loop. We do not sell your data.

Acceptance of These Terms
These Terms of Service (the "Terms") govern access to and use of the Secondframe platform, websites, applications, and related services (collectively, the "Service"), operated by Secondframe ("Secondframe," "Company," "we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you use the Service on behalf of an organization, you represent that you have authority to bind it, and "you" means both you and that organization. If you do not agree, you may not use the Service.

Definitions
- "Organization" or "Customer" means a company or team that uses the Service to evaluate candidates or to benchmark its own engineers.
- "Candidate" means an individual who takes an assessment, whether invited by an Organization or self enrolled through a personal account.
- "Contributor" means a person or entity invited to author assessment scenarios, governed by the separate Contributor Agreement.
- "Assessment" means a simulation based evaluation delivered through the Service, including the interaction transcript, scores, and reports it produces.
- "Content" means scenarios, rubrics, prompts, software, models, text, and other materials made available through the Service.
- "User" means anyone who accesses the Service, including Organization users, Candidates, and Contributors.

Eligibility and Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Service. The Service is not directed to children.
You agree to provide accurate information, keep it current, maintain the confidentiality of your credentials, and accept responsibility for activity under your account. Notify us promptly at hello@secondframe.co of any unauthorized use. We are not liable for losses arising from your failure to safeguard your credentials.
The Service supports Organization accounts, Candidate accounts, and Contributor accounts, and additional terms may apply to each as set out below.

Description of the Service
Secondframe is a simulation based talent evaluation platform. It places Candidates into realistic, interactive scenarios and produces structured behavioral signals and scores across defined evaluation dimensions, together with reports and transcripts.
The Service provides evaluation infrastructure and information only. Secondframe does not make hiring decisions, is not an employer or employment agency, and does not guarantee any hiring outcome, candidate performance, or business result.

The Role of the Service in Decisions
Scores, reports, and other outputs are decision support information, not decisions. Organizations are solely responsible for all hiring, screening, promotion, and other employment decisions, and must apply meaningful human review rather than relying solely on automated output.
Organizations are solely responsible for ensuring their use of the Service complies with all applicable laws, including employment, anti discrimination, privacy, and automated decision making laws, and for performing or obtaining any bias audits, candidate notices, accommodations, or consents those laws require. Allocation of AI specific responsibilities is set out in Section 012.

Organization (Customer) Terms
If you use the Service as an Organization, you agree that you will:
- provide accurate account and billing information;
- use the Service only for lawful, non discriminatory evaluation and hiring practices;
- ensure you have a lawful basis to process each Candidate's personal data and have given all required notices and obtained all required consents before inviting a Candidate;
- apply human oversight to all outputs and not use scores as the sole basis for any decision;
- comply with all employment, labor, privacy, and AI related laws applicable to you; and
- keep confidential the scenario content, rubrics, and other non public materials, and share assessment links only with intended Candidates.
You act as the data controller, and Secondframe acts as the data processor, for Candidate personal data you submit or generate through invited assessments. Our processing is governed by the Privacy Policy and by our Data Processing Addendum (DPA), which is incorporated for Organizations subject to the GDPR or comparable laws.

Candidate Terms
If you take an assessment, you acknowledge that it is interactive and AI driven, that your messages, actions, and timing are recorded, and that the Service generates scores and a transcript from your participation.
For assessments you start yourself through a personal account (self initiated assessments), Secondframe acts as the data controller for your account and profile data, as described in the Privacy Policy. You may receive a personal Judgment Profile.
Public profiles. If you choose to make a profile public, certain information (for example, your name, summary scores, and badges) may appear on a public page that search engines can index. We never publish your assessment transcripts on public profiles. You can change visibility or request removal at any time, although cached copies held by third parties such as search engines may persist for a period after removal.
No guarantee of employment. Taking an assessment does not guarantee an interview, offer, or job. Hiring decisions are made by Organizations, not by Secondframe.
Integrity. You agree to complete assessments yourself, without impersonation or use of disallowed assistance, and without conduct intended to misrepresent your abilities.

Contributor Terms
Contributors who author scenarios are governed by the separate Secondframe Contributor Agreement, which addresses content standards, intellectual property licensing, authorship recognition, any future revenue programs, and the independent contractor relationship. It is incorporated by reference for all Contributors.

Subscriptions, Fees, and Payments
A. Fees. Access to paid features requires payment of the fees on our pricing page or in a separate order. Organization subscriptions may be billed monthly or annually in advance and may include assessment credits, overage charges, and rollover terms as described at purchase.
B. Payment processing. Payments are processed by Paddle, which acts as the merchant of record for purchases through the Service. Your purchase is also subject to Paddle's buyer terms, and Paddle handles applicable sales tax and VAT collection.
C. Self initiated assessments. Candidates may purchase individual assessments at the price shown at the point of purchase.
D. Renewals. Subscriptions automatically renew unless canceled before the renewal date.
E. Cancellation and refunds. Organizations may cancel at any time, with access continuing through the paid period; except where required by law, Organization fees are non refundable. For Candidate purchases, an individual assessment is refundable if requested within 14 days and before the assessment has been started; once started it is non refundable, except for statutory withdrawal or refund rights that apply in the Candidate's jurisdiction.
F. Taxes. Stated fees exclude taxes unless noted. You are responsible for applicable taxes other than taxes on our net income.

Acceptable Use
No User may:
- use the Service for unlawful, fraudulent, harassing, or discriminatory purposes;
- upload malicious code or content that is unlawful, infringing, or harmful;
- reverse engineer, scrape, decompile, or circumvent the Service or its security, except to the extent this restriction is prohibited by law;
- extract, copy, publish, or resell scenarios, rubrics, or other proprietary Content;
- misuse the Service to harm, deceive, or unfairly disadvantage Candidates; or
- interfere with the integrity, availability, or performance of the Service.
We may investigate, suspend, or terminate access for suspected violations.

Confidentiality and Assessment Integrity
Scenario content, prompts, rubrics, scoring logic, and non public features are confidential. Users agree not to disclose them and not to publish, leak, or distribute assessment questions or answers in any way that undermines assessment integrity. This Section survives termination.

Artificial Intelligence and Automated Processing
The Service uses artificial intelligence and automated processing to render simulated interactions and to generate scores and reports.
Outputs may contain errors, may vary between runs, and are probabilistic estimates rather than definitive measurements. We do not warrant that outputs are accurate, complete, unbiased, or fit for any particular decision.
Human oversight is required. Organizations must ensure a qualified human reviews outputs and makes the final decision.
Allocation of roles. For purposes of the EU AI Act, Secondframe is the provider of the AI system and the Organization is the deployer; each party is responsible for its respective obligations. For laws governing automated employment decision tools (including New York City Local Law 144, the Illinois Artificial Intelligence Video Interview Act, and the Colorado AI Act), the Organization, as employer or employment agency, is responsible for required bias audits, candidate notices, and appeal or accommodation rights. Secondframe will provide information reasonably necessary to support the Organization's compliance, on request.
Bring your own key (BYOK). If an Organization configures the Service to use its own third party AI provider keys, the Organization is responsible for that provider's terms and for that provider's processing of data, which is outside Secondframe's control.

Intellectual Property
A. Secondframe IP. The Service, including all software, models, methodologies, evaluation frameworks, and Secondframe authored Content, is owned by Secondframe and its licensors and is protected by intellectual property laws. We grant you a limited, non exclusive, non transferable, revocable right to use the Service under these Terms.
B. Customer and Candidate data. Organizations retain ownership of candidate materials and internal notes they submit. Candidates retain ownership of their own submitted materials. Each grants Secondframe the limited license needed to operate and provide the Service.
C. Contributor content. Scenario content authored by Contributors is licensed to Secondframe under the Contributor Agreement.
D. Feedback. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty free license to use it without obligation to you.

Third Party Services
The Service integrates third party services, including authentication providers (for example Google and LinkedIn), payment processing, email delivery, and AI providers. Your use of those features may be subject to the third party's terms, and we are not responsible for third party services.

Beta and Early Access Features
Features labeled beta, preview, or early access are provided for evaluation, may change or be withdrawn, and are offered "as is" without warranties or service commitments.

Disclaimer of Warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available," and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non infringement, accuracy, and uninterrupted or error free operation. We make no warranty regarding hiring success, candidate performance, or the accuracy or fairness of any score or report.

Limitation of Liability
To the maximum extent permitted by law, Secondframe will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business, arising out of or related to the Service.
Our total aggregate liability arising out of or related to the Service will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars (USD 100).
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, or death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification
You agree to defend, indemnify, and hold harmless Secondframe and its officers, employees, and agents from claims, damages, and expenses arising out of your use of the Service, your content, your hiring or employment decisions, your violation of these Terms, or your violation of any law or third party right.

Term and Termination
These Terms apply while you use the Service. We may suspend or terminate access if fees are unpaid, these Terms are violated, or use is unlawful or poses risk. You may stop using the Service at any time. Upon termination, your right to use the Service ends, and data is handled as described in the Privacy Policy. Sections that by their nature should survive will survive, including Sections 011, 013, 016, 017, 018, and 020.

Dispute Resolution, Arbitration, and Governing Law
A. Governing law. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of law rules.
B. Informal resolution. Before starting a formal proceeding, the parties agree to try in good faith to resolve any dispute by contacting hello@secondframe.co, for at least 30 days.
C. Binding arbitration. Except for the carve outs below, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the Vancouver International Arbitration Centre (VanIAC) under its rules, seated in Vancouver, British Columbia, before a single arbitrator, in English.
D. Class action waiver. Disputes will be arbitrated only on an individual basis, and not as a class, collective, or representative action, to the maximum extent permitted by law.
E. Carve outs. This Section does not apply to: (i) claims that qualify for small claims court; (ii) claims for injunctive or equitable relief relating to intellectual property or unauthorized use of the Service; and (iii) Candidates acting as consumers, to the extent mandatory consumer law gives them a non waivable right to bring claims in their local courts.

Changes to These Terms
We may update these Terms. We will post the updated version with a new date and, for material changes, provide reasonable advance notice. Continued use after the effective date constitutes acceptance.

General
These Terms, the Privacy Policy, the DPA, the Contributor Agreement (where applicable), and any order are the entire agreement between you and Secondframe regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us should be sent to hello@secondframe.co.
